1. Scope

These General Terms and Conditions (GTC) apply to all contracts and business relationships between Sarah Communications (hereinafter "we" or "us") and our clients (hereinafter "client" or "you"). Any differing, supplementary, or contradictory terms of the client will only be recognized if we explicitly agree to them in writing.

2. Conclusion of Contract

The contract between us and the client is concluded upon the acceptance of an offer from the client or upon the confirmation of the order by us. Our offers are non-binding and subject to change unless otherwise explicitly agreed.

3. Description of Services

Our services are based on the agreements in the respective contract or in the order confirmation. The exact nature and scope of the services to be provided will be defined individually. Any changes or additions to the agreed services require the written consent of both parties.

 

4. Prices and Payment

The agreed prices are exclusive of statutory VAT. Payments are due in accordance with the agreed payment terms. If the client is in default of payment, we are entitled to charge default interest of 8% per annum. In the event of a payment delay, we are also entitled to suspend the further execution of the contract until the outstanding amounts are settled.

 

5. Client's Cooperation Obligations

The client undertakes to provide us with all necessary information and documents for the provision of our services in a timely manner. The client is also obliged to inform us of any relevant changes in circumstances that may affect the execution of the order. The client is responsible for any costs and damages arising from late or incomplete cooperation.

 

6. Liability

We are only liable for damages resulting from gross negligence or intent. For damages caused by slight negligence, we are only liable if a significant contractual obligation is violated. In this case, liability is limited to the typical and foreseeable damage.

 

7. Copyright and Usage Rights

All works created by us, including drafts, designs, texts, graphics, and other materials, remain our property. The client is granted a simple, non-transferable right to use the works created by us, which is limited to the contractual purpose and period. Any further use, especially the transfer to third parties, requires our explicit consent.

 

8. Confidentiality

We undertake to treat all information provided by the client in the course of the contractual relationship confidentially and not to disclose it to third parties unless there is a legal obligation or the client has expressly consented to such disclosure.

 

9. Data Protection

The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) and applicable data protection regulations. Further information on data protection can be found in the privacy policy on our website.

 

10. Termination

The contract can be terminated by either party with a notice period of 7 days in writing. In the event of termination by the client, the client is obliged to pay for all services rendered up until the termination.

 

11. Final Provisions

Austrian law applies to all disputes arising from or in connection with this contract. The competent court is Vienna, unless mandatory legal provisions dictate otherwise.

If any provision of these GTC is invalid or unenforceable, the validity of the remaining provisions will not be affected. The invalid provision will be replaced by a provision that comes as close as possible to the economic purpose of the invalid provision.
